Terms of Use

Scope

These terms govern your use of nsightsurgical.ai and the related investor portal. Customer use of the nSight Surgical platform is governed by a separate Master Services Agreement and Business Associate Agreement; those documents control any conflict.

Acceptable use

  • Don’t attempt to access accounts or data you’re not authorized to access.
  • Don’t scrape, mirror, or reverse-engineer the site or the portal.
  • Don’t share investor portal credentials. Each account is for a single named individual.
  • Don’t republish or share content from the investor portal or data room outside the relationship for which access was granted.

Investor portal access

Investor portal access is granted at our discretion to accredited investors and approved diligence partners. Access may be revoked at any time, particularly in response to misuse, change in relationship status, or routine housekeeping after a transaction closes or stalls.

Confidentiality

Materials in the investor portal — including the deck, downloads, and data-room documents — are confidential. Portal users agree not to disclose them to third parties without our written consent. Approved diligence users may share materials with their named diligence advisors under customary confidentiality terms.

Forward-looking statements

Investor materials may contain forward-looking statements about the company’s plans, strategy, and projections. These are estimates, not guarantees, and are subject to risks and uncertainties. Actual results may differ materially. Materials are dated; older materials may be superseded.

Intellectual property

The site, portal, brand assets, and underlying technology are owned by nSight Surgical Inc. or its licensors. Unauthorized use is prohibited.

Disclaimers

The site and portal are provided “as is” without warranties of any kind. We don’t guarantee uninterrupted or error-free access. Materials in the investor portal are for evaluation purposes; they don’t constitute an offer to sell or a solicitation to buy securities.

Limitation of liability

To the extent permitted by law, nSight is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the site or portal.

Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.

Changes

We may update these terms from time to time. Significant changes affecting portal users will be communicated by email.
